By scheduling an appointment, purchasing services, receiving media, electronically signing, checking an acceptance box, or otherwise engaging Osprei Media ("Company"), you ("Client") acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.Authority to Authorize Services
The Client represents and warrants that they are the legal owner of the property or have full authority to authorize photography, videography, drone operations, and access to the property. The Client is solely responsible for obtaining any required approvals from property owners, tenants, homeowners' associations, property managers, builders, developers, or any other party with legal authority over the property. The Client agrees to indemnify, defend, and hold harmless Osprei Media, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, expenses, attorney's fees, or legal actions arising from unauthorized access, ownership disputes, failure to obtain required permissions, inaccurate information supplied by the Client, or violations of applicable law.Property Readiness
The Client is responsible for ensuring that the property is clean, staged, safe, fully accessible, and ready for photography upon Osprei Media's arrival. Osprei Media is not responsible for cleaning, staging, moving furniture, hiding personal items, removing vehicles, opening blinds, turning on lights, or otherwise preparing the property. If the property is not ready, inaccessible, or unsafe, Osprei Media may photograph the property as presented, delay the appointment and charge additional fees, reschedule the appointment, refuse service, or cancel the appointment without liability.Scheduling, Cancellations & Rescheduling
Appointments canceled or rescheduled less than twenty-four (24) hours before the scheduled appointment may be charged up to the full appointment fee. If Osprei Media arrives at the property and cannot perform the scheduled services because of lack of access, an unprepared property, missing authorization, unsafe conditions, or any circumstance within the Client's control, the appointment shall be considered a same-day cancellation and all applicable fees shall remain due. Any return visit or re-shoot requested due to weather changes, landscaping changes, renovations, furniture movement, staging updates, occupancy changes, or other conditions occurring after the original appointment shall be treated as a new service and may be subject to additional charges.Payment
Payment is due upon completion of services unless otherwise agreed in writing. No photographs, videos, drone imagery, floor plans, virtual tours, or other deliverables will be released until payment has been received in full. Due to the custom nature of photography and videography services, all completed services are non-refundable except where required by applicable law. Late balances may accrue interest at the maximum rate permitted under Florida law, together with all reasonable collection costs, attorney's fees, litigation expenses, and court costs.The Client agrees not to initiate a chargeback or payment dispute for completed or substantially completed services without first providing Osprei Media written notice and a reasonable opportunity to resolve the matter. If Osprei Media successfully defends a chargeback or collection action, the Client agrees to reimburse Osprei Media for all associated attorney's fees, court costs, administrative costs, collection expenses, and any other reasonable costs incurred.Copyright & License
All photographs, videos, drone imagery, floor plans, virtual tours, digital files, and all other media produced by Osprei Media remain the exclusive intellectual property of Osprei Media and are protected by United States copyright law. No copyright ownership is transferred to the Client.Upon full payment, the Client receives a limited, non-exclusive, non-transferable, revocable license to use the delivered media solely for marketing, advertising, selling, leasing, renting, or managing the specific property photographed. This license automatically expires when the property is sold, transferred, withdrawn from the market, or the listing expires unless otherwise agreed in writing.The Client may not sell, sublicense, assign, transfer, distribute, edit, manipulate, materially alter, remove watermarks, use the media to train artificial intelligence or machine learning systems, or otherwise use the media for any purpose unrelated to marketing the photographed property without Osprei Media's prior written consent.The Client may not provide, transfer, distribute, or permit use of the media by builders, contractors, architects, designers, stagers, developers, vacation rental companies, Airbnb hosts, property managers, future listing agents, subsequent property owners, or any third party without prior written authorization from Osprei Media. Unauthorized use constitutes copyright infringement and may result in legal action.Osprei Media reserves the right to immediately revoke the Client's license to use any delivered media in the event of non-payment or any material breach of these Terms & Conditions.Promotional Use
Osprei Media retains the unrestricted right to display, reproduce, publish, edit, distribute, license, and otherwise use any media created during the appointment for lawful business purposes, including portfolios, websites, social media, advertising, educational materials, competitions, publications, and future marketing efforts without additional notice, permission, or compensation.Creative Services
Photography and videography are artistic services. Osprei Media retains sole creative discretion regarding composition, camera placement, lighting, exposure, editing, retouching, color grading, image selection, cropping, framing, and all other artistic decisions. Delivered media represents the final product. Requests for additional editing or revisions beyond Osprei Media's normal workflow may be subject to additional fees.Delivery
Estimated delivery times are estimates only and are not guaranteed. Delivery may be delayed due to workload, weather, technical issues, internet outages, equipment malfunction, software failure, FAA restrictions, or circumstances beyond Osprei Media's reasonable control. Such delays shall not constitute a breach of this agreement.Osprei Media is not obligated to permanently archive delivered media and reserves the right to permanently delete all files ninety (90) days after delivery. Requests for replacement files after this period are not guaranteed and, if available, may be subject to additional fees.Drone Operations
Drone photography and videography are subject to all applicable Federal Aviation Administration regulations, airspace restrictions, weather conditions, and safety requirements. Osprei Media reserves the right to postpone, modify, substitute, or cancel drone operations whenever flight cannot be conducted safely or legally. No refunds shall be provided solely because drone services cannot be performed due to circumstances outside Osprei Media's reasonable control.Property Information
Osprei Media documents the property only as it exists at the time of the appointment. Osprei Media does not guarantee room dimensions, floor plan accuracy, measurements, property descriptions, MLS information, or listing accuracy. The Client is solely responsible for verifying all information before publication. Osprei Media shall not be responsible for changes to the property's appearance or condition after the appointment, including weather, landscaping, renovations, occupancy, staging, damage, or other alterations.Equipment Failure & Force Majeure
Although Osprei Media maintains professional equipment and reasonable backup procedures, the Company shall not be liable for delays or inability to perform services caused by equipment malfunction, software failure, storage media failure, internet outages, utility interruptions, acts of God, hurricanes, severe weather, government actions, FAA restrictions, illness, accidents, civil disturbances, labor disputes, or any event beyond Osprei Media's reasonable control. In the event services cannot be completed solely due to circumstances within Osprei Media's control, the Client's exclusive remedy shall be limited to a refund of the amount actually paid for the affected services.Limitation of Liability
To the fullest extent permitted by Florida law, Osprei Media shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or lost-profit damages arising out of or relating to the services provided. Osprei Media's total cumulative liability for any claim, regardless of the legal theory asserted, shall never exceed the total amount actually paid by the Client for the specific appointment giving rise to the claim.Right to Refuse Service
Osprei Media reserves the right to refuse, suspend, postpone, or terminate services whenever conditions are unsafe, illegal, abusive, threatening, or otherwise interfere with the Company's ability to safely perform the requested services or protect its personnel and equipment.Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida. Any dispute arising from these Terms or the services provided shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. The prevailing party in any legal action shall be entitled to recover all reasonable attorney's fees, court costs, litigation expenses, and collection costs.General Provisions
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms & Conditions constitute the entire agreement between the Client and Osprei Media and supersede all prior discussions, representations, understandings, or agreements relating to the services provided. Osprei Media reserves the right to update these Terms & Conditions at any time, and the version in effect at the time of booking shall govern the Client's appointment. Acceptance of these Terms by electronic signature, checking an acceptance box, completing an online booking, or otherwise purchasing services constitutes a legally binding agreement and shall have the same force and effect as an original handwritten signature.
